These Terms of Service apply to the use of the Strategic Editing website and to services provided by Strategic Editing, unless different or additional terms are agreed in writing for a particular project.

1. About Strategic Editing

Strategic Editing provides strategic editorial, writing and communication services, including Strategic Review, Strategic Editing and Strategic Writing.

The nature and scope of each project may vary according to the communication, its purpose, audience, context and intended outcome.

2. Project Scope and Agreement

Before work begins, the scope of the project, deliverables, fees, timescale and any other material requirements will normally be agreed in writing.

Where project-specific terms are provided in a proposal, quotation, email confirmation or other written agreement, those terms will take precedence over these general Terms of Service in relation to that project.

Any work requested outside the agreed scope may require additional time, fees or a revised agreement.

3. Client Responsibilities

Clients are responsible for providing the information and materials reasonably required to carry out the agreed work and for ensuring, to the best of their knowledge, that they have the right to share those materials.

Clients remain responsible for reviewing and approving final content before publication, submission, implementation or other use.

Where factual, technical, legal, regulatory or other specialist information is supplied by the client, Strategic Editing may rely on that information unless verification forms part of the agreed scope.

4. Fees and Payment

Fees and payment arrangements will be agreed before work begins.

Any applicable deposit, payment schedule, currency, payment deadline or additional charges will be stated in the relevant project agreement or invoice.

Additional work that falls outside the agreed scope will not normally be undertaken without discussion with the client.

5. Changes, Delays and Cancellation

If the scope, requirements or circumstances of a project change substantially after work has begun, the timescale or fee may need to be revised.

Project-specific arrangements concerning cancellation, rescheduling, refunds or work already completed will be communicated where relevant before the project begins.

Strategic Editing will make reasonable efforts to meet agreed deadlines but cannot be responsible for delays caused by circumstances outside its reasonable control or by delays in receiving necessary information, materials or feedback.

6. Confidentiality and Client Information

Client materials and information will be handled with reasonable care and treated as confidential unless they are already public, disclosure is authorised by the client, or disclosure is required by law.

7. Intellectual Property

Clients retain ownership of materials they provide to Strategic Editing.

Unless otherwise agreed, once all applicable fees have been paid, the client may use the final material created or substantially revised for them for the purpose for which it was commissioned.

Strategic Editing retains ownership of its pre-existing methods, frameworks, processes, templates, know-how and other intellectual property that was not created specifically for the client.

Any different intellectual-property arrangements may be agreed in writing where required by a particular project.

8. Professional Judgement and Outcomes

Strategic Editing provides analysis, editorial judgement, writing and communication support based on the information available and the agreed scope of the project.

While the objective is to strengthen the effectiveness of a communication, no particular external outcome can be guaranteed. This includes, for example, publication, admission, funding, commercial results, search-engine ranking, regulatory acceptance or any decision made by a third party.

9. Specialist Advice

Strategic Editing does not provide legal, financial, medical or other regulated professional advice unless this has been expressly agreed and appropriately provided by a qualified professional.

Editorial or strategic work on material relating to such areas should not be treated as a substitute for relevant specialist advice.

Reasonable efforts are made to keep the information accurate and current, but website content should not be relied upon as professional advice applicable to a specific situation.

Either party may end a project where the other materially breaches the agreed terms or where continuing the work becomes impracticable.

Where a project ends before completion, payment may remain due for work already performed and for any other amounts agreed in the project-specific terms.

14. Changes to These Terms

These Terms may be updated from time to time to reflect changes in Strategic Editing’s services, working practices or legal requirements.

The version published on this website will indicate the date of the most recent update.

15. Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or the services provided by Strategic Editing, are governed by the laws of England and Wales.

Where the client is acting as a consumer, nothing in these Terms affects any statutory rights available under applicable consumer-protection legislation, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, where applicable.

Subject to any mandatory rights available to consumers, the courts of England and Wales will have non-exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the services provided by Strategic Editing.
